Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AI phone system, contact center, messaging, and related services provided by VocaVoIP ("VocaVoIP," "we," "us," or "our") (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
VocaVoIP provides a cloud-based business communications platform, including an AI receptionist and AI agents, call routing and a visual call-flow builder, a contact center, softphones, video, SMS, and optional integrations with third-party services you connect. Features may change over time.
2. Accounts & eligibility
- You must provide accurate account information and keep it current.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- The Service is intended for business use by users aged 18 or older.
3. Billing & usage
- Paid plans are billed per the pricing shown at signup — typically a per-seat subscription plus usage-based charges (for calls, AI minutes, messages, and phone numbers), often via a prepaid wallet.
- Usage-based charges are drawn as incurred. You are responsible for maintaining a sufficient balance; the Service may restrict outbound activity when a balance is insufficient.
- Government fees and telecom taxes (including USF and 911-related fees) may be passed through.
- Fees are non-refundable except where required by law or expressly stated.
4. Acceptable use
You agree not to use the Service to:
- Violate any law or regulation, including telecommunications, anti-spam (e.g., TCPA), and messaging (e.g., A2P 10DLC) rules.
- Send unlawful, fraudulent, harassing, or unsolicited communications, or engage in robocalling or spam.
- Infringe others' rights, transmit malware, or attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
- Resell or provide the Service to third parties except under an authorized VocaVoIP reseller agreement.
You are responsible for obtaining any consents and providing any notices required to record calls or send messages in your jurisdiction.
5. Emergency calling (911) — important
VoIP 911 limitations
VocaVoIP is an internet-based service. Emergency (911) calling may work differently from traditional phone service: it may not function during an internet or power outage, may not automatically convey your precise location, and may route through a relay operator who will ask for your address. You must keep your registered address current and always be prepared to state your location. Do not rely on the Service as your sole means of contacting emergency services. By using the Service you acknowledge these limitations.
6. Third-party integrations
You may connect third-party services (for example, Google Calendar). Your use of those services is governed by their own terms and privacy policies. You authorize VocaVoIP to access and use data from connected services solely to provide the features you enable, as described in our Privacy Policy. We are not responsible for third-party services and you may disconnect them at any time.
7. Customer content & AI
- You retain ownership of the content you and your callers provide ("Customer Content"). You grant us the rights needed to process it to provide the Service.
- Our AI features generate automated responses and actions; while designed to be helpful, they may occasionally be inaccurate. You are responsible for reviewing AI-assisted outcomes (such as booked appointments) and for how you configure your call flows.
8. Intellectual property
The Service, including all software, content, and trademarks, is owned by VocaVoIP or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. You may not copy, modify, or create derivative works of the Service except as permitted.
9. Suspension & termination
We may suspend or terminate access if you breach these Terms, fail to pay, or create risk or legal exposure. You may stop using the Service at any time. Upon termination, your right to use the Service ends; certain provisions survive (including billing, disclaimers, and limitations of liability).
10. Disclaimers
The Service is provided "as is" and "as available."
To the maximum extent permitted by law, VocaVoIP disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI outputs will be accurate.
11. Limitation of liability
To the maximum extent permitted by law, VocaVoIP and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.
12. Indemnification
You will indemnify and hold harmless VocaVoIP from claims, damages, and expenses arising out of your use of the Service, your Customer Content, or your violation of these Terms or applicable law.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the United States and the state in which VocaVoIP is established, without regard to conflict-of-laws principles. Disputes will be resolved in the courts located there, unless applicable law requires otherwise.
